SkySpecs Performance - Supplemental Terms and Conditions
These SkySpecs Performance – Supplemental Terms and Conditions (“Exhibit F”) are an exhibit to, subject to, and incorporated into the Master Software and Services Agreement (the “Agreement”).
1. Summary: For the avoidance of doubt, the terms and conditions of this Performance Exhibit will apply to SkySpecs Performance subscriptions provided by SkySpecs to Customer according to the applicable Order, including the use of SkySpecs’ proprietary software platform Horizon (“Horizon” or “Software”). SkySpecs Performance subscriptions may include Fleet Optimization as outlined in Section 2 of this Performance Exhibit (“Fleet Optimization”) and transactional ad-hoc services that may be purchased together or individually, as outlined in Section 3 of this Performance Exhibit (“Transactional Services”). Fleet Optimization and Transactional Services are collectively referred to herein as the “Performance Services.”
2. Scope of Work – Fleet Optimization: The standard Fleet Optimization subscription includes the following. Modifications to the standard subscription may be noted on the Order Form.

Data Analysis |
Data Quality Checks – Checks to ensure that data input into the Software is of sufficient quality to produce accurate results. Performance Analysis – Diagnostics of wind turbine performance, and recommendations for improvement, using a combination of AI-techniques, machine learning and SkySpecs’ internally developed physics-based methodology. Control System Checks – Analysis of the overall turbine efficiency, as well as an assessment of the pitch drive and yaw drive, checking issues such as static and dynamic response, northing and alignment. Component Health Checks – Assessment of major turbine components such as, if applicable, main bearing, gearboxes, generator bearings, generator electrical system, transformer electrical system, yaw drives, and pitch drives. SkySpecs will use predictive methods to identify components with an elevated risk of future failure based on system modelling and trend analysis. |
Customer may choose to purchase a Proof of Concept “POC” for Fleet Optimization. A standard POC includes the following, which may be adjusted on the Order Form:

Investigations: Deep-dive Diagnostics |
The scope to be provided is as follows: ● A deep-dive analysis into a specific issue, either detected through analysis using SkySpecs Performance or raised independently by the Customer. The issue will typically relate to a single turbine, or a single wind farm. The total number of turbines analysed within the scope of a single investigation may not exceed 10. ● An initial discussion with the Customer to ensure that the definition of the issue detected is clear and the expected outcome is well defined. Typically, this discussion will take place during one of the scheduled monthly delivery meetings. ● A report in presentation format, detailed main results, conclusions, and recommendations for follow-up activity. ● Feedback meeting with the Customer to review the results of analysis. ● Support in ensuring that “best practice” is applied in the planning and execution of follow-up actions. ● All Investigations will include the following elements: o Clear diagnosis, problem well understood o Determination of financial potential if problem can be solved o Plan of action that can be excluded with reasonable effort |

Wind Turbine Performance Upgrade Assessment |
The scope to be provided is as follows: ● An initial discussion to ensure that the Customer and SkySpecs are aligned on the details of the intended upgrade, including technical background, details of the windfarm affected and the timing of the upgrade and any related software or hardware changes. ● SkySpecs will deliver to the Customer a document describing the method used for upgrade assessment, as well as a checklist defining the input data and information that must be delivered in order for the upgrade assessment to be performed. ● The analysis may be performed to assess upgrades on up to 20 target turbines in a single windfarm, with at least one turbine in the same wind farm acting as a “control” (i.e. with no upgrade). ● A detailed performance and AEP (Annual Energy Production) analysis will be performed, comparing performance of the turbines before and after the upgrade event. The analysis includes data correction, cleaning and filtering to ensure high precision. ● Note that if the upgrade to be assessed has already been implemented in the past and at least 3-months of SCADA data is available following the upgrade, SkySpecs will perform the analysis as soon as the required information has been provided by the Customer. Results will be delivered within 4 weeks of receipt of an order and delivery of all required input data by the Customer. ● If the upgrade has not yet been implemented and is still in the planning stage, or if an insufficient amount of time has passed following the upgrade, a project-specific schedule will be agreed between SkySpecs and the Customer for commencing the analysis work. Note that a period shorter than 3-months following the upgrade may also be adequate in specific cases, however this should be agreed in advance between SkySpecs and the Customer. ● Also note that in case the initial analysis results in a non- conclusive output due to a lack of operational data (e.g. due to insufficient amount of time spent operating at high wind conditions), SkySpecs will perform a second iteration of the analysis without additional Fees. Further iterations may be charged at a rate to be mutually agreed between Customer and SkySpecs. ● A report will be delivered in presentation format, detailed main results, conclusions, and recommendations for follow-up activity. ● A feedback meeting will be held with the Customer to review the results of analysis. |

Production Loss Calculation |
The scope to be provided is as follows: ● An analysis will be performed to quantify the loss in production for a single wind turbine, or multiple turbines on a single site. This production loss will typically be for a specific time interval, and the losses may be caused by partial production or a complete shut-down of the turbine(s). ● An initial discussion to ensure that the Customer and SkySpecs are aligned on the details of the intended production loss calculation, including technical background, details of the windfarm affected and the timing of the loss to be evaluated. ● SkySpecs will deliver to the Customer a document describing the method used for the assessment. ● Note that if additional SCADA data is needed for the analysis (e.g. from a neighbouring windfarm not already analysed by SkySpecs), the Customer will be responsible to provide this data to SkySpecs in a structured form. ● A report will be delivered in presentation format, detailed main results, conclusions, and recommendations for follow-up activity. ● A feedback meeting will be held with the Customer to review the results of analysis. |

Custom Historical Data Analysis |
The scope to be provided is as follows: ● The analysis may include up to 200MW of wind turbines and covering a historical operational period of up to 12 months on a single wind farm. ● As input to the analysis, SCADA 10-min logs will be used and also optionally high frequency data logs (with resolution between 1- second and 30-seconds), as far as these are available. Note that dependent on the resolution of the high frequency data available, SkySpecs reserves the right to limit the operational period considered. This will be agreed by SkySpecs and the Customer prior to commencing the analysis. ● Several tools from within the SkySpecs Performance analysis suite will be used to support the regular analysis. The following areas will be covered: o Data Quality Checks – Ensure that the input data is of sufficient quality to produce accurate results. Checks include signal mapping, data completeness, and plausibility. In case of inadequate data quality, a detailed description of the issues reported. o Performance Analysis – Detailed checks of turbine power curves including advanced correction and filtering techniques. Combination of methodology from the IEC61400-12 standard, internally developed physics- based methods and machine learning to produce highly accurate power curves. Use of A.I. driven techniques to generate diagnostic information and recommendations. o Control System Checks – Analysis of the overall turbine efficiency as well as a detailed assessment of the pitch drive and yaw drive, checking issues such as static and dynamic response, northing and alignment. Identification of outlying behaviour using machine-learning based models trained on extremely large datasets, to deliver recommendations for turbines requiring corrective action to produce optimised performance. o Component Health Checks – Assessment of the current health status of major components such as main bearing, gearboxes, generator bearings, generator electrical system, transformer electrical system, yaw drives, and pitch drives. Furthermore, predictive methods will be used to identify components with elevated risk of future failure based on system modelling and trend analysis. Subject to data availability, a range of signals will be assessed and combined for the health checks. ● Results will be delivered within 6 weeks of receipt of an order and delivery of all required input data by the Customer. ● A report will be delivered in presentation format, detailed main results, conclusions, and recommendations for follow-up activity. ● A feedback meeting will be held with the Customer to review the results of analysis. |
4. Inflation: SkySpecs reserves the right to increase the Order Form’s Performance Services fees each calendar year to adjust for inflation, provided that SkySpecs provides 30 days’ written notice to Customer and any such increase does not exceed the annual increase in the US Department of Labor Consumer Price Index for the preceding 12-month period.
5. Customer Commitments: In order to ensure that the Performance Services are performed in an efficient and timely manner, Customer understands that its cooperation and support is essential. As such, Customer agrees to the following responsibilities:
- Customer will provide SkySpecs with data and data access necessary to perform the Performance Services, as further outlined in these attachments to this Performance Exhibit:

- Customer will provide SkySpecs with timely access to data, systems, file storage locations, and applications necessary to perform the Performance Services.
- Customer will make the appropriate stakeholders available to participate in meetings and discussions outlined in this Performance Exhibit.
6. Out of Scope: The following items will be considered out of scope for the Performance Services:
- Repair work or implementation of performance improvements.
- Any other services or deliverables not documented within the Order Form.
